1. Acceptance of Terms

By accessing or using Shutdown Assistant ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Shutdown Assistant provides informational guides about business dissolution processes in the United States, paid detailed guides, and a full-service shutdown agent service. The Service is not a law firm and does not provide legal advice.

3. Free Guides

Free state guides are provided as-is for general informational purposes. We make reasonable efforts to keep information current but cannot guarantee accuracy. You are responsible for verifying all information with official state agencies before acting on it.

4. Paid Guides

Paid guides are digital products delivered electronically. All sales are final. Due to the digital nature of the product, refunds are not available after delivery. If you experience technical issues accessing your guide, contact us within 14 days of purchase.

5. Shutdown Agent Service

The Shutdown Agent Service is a filing and compliance assistance service. By purchasing this service:

  • You authorize us to prepare and submit dissolution filings on your behalf
  • You agree to provide accurate information about your business
  • You understand we are not providing legal advice or representation
  • You agree to sign any necessary documents promptly
  • You understand that government processing times are outside our control

The $1,000 fee covers one entity in one state. Additional states are $250 each. If we are unable to complete your dissolution for reasons within our control, we will provide a full refund.

6. Limitation of Liability

To the maximum extent permitted by law, Shutdown Assistant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

7. Intellectual Property

All content on this site, including guides, text, graphics, and software, is the property of Shutdown Assistant. Paid guides are licensed for personal or professional use by the purchaser only. Redistribution or resale is prohibited.

8. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated date. Continued use of the Service constitutes acceptance of modified terms.
